9.3 Rules regarding Performance of Contract

Who may perform: the promisor personally where the contract's nature demands (the personal skill-and-service promises); the promisor's agent; the recognized third party (the performance-by- a-stranger's acceptance — the promisee's consent-or-estoppel questions). What must be performed: the promise's exact content — the whole obligation per the terms (the good-faith reading; the substantial-performance qualification for the divisible-and-building contracts). When and where: the time-and-place terms; the time's essence doctrine — the stipulations making delay = breach (the essence's express-or-construction questions; the grace of the courts in the commercial-or-land contexts' differences). To whom: the promisee, his recognized assignee, the authorized receiver. The joint-and-reciprocal performances: the simultaneous-exchange rule (the mutual promises' concurrent performance — neither party compelled to perform first where the contract is simultaneous); the order-of-performance in the sequential contracts (the condition-precedent structure). The jyala-majduri performance: the wage-work contract's own performance-and-payment rules — the labourer's protection (the Code's distinctive chapter: the wage's timely payment; the unfair- deduction bars).
