39 C. Review (the checklist a young lawyer runs)

1. Authority & identity: correct legal names; signatories authorised; no forged/invalid capacity. 2. Subject matter: lawful? possible? within regulatory limits (licences)? 3. Every obligation has a clear actor, standard and date. 4. Money: amount, currency, tax treatment, invoice mechanics, default interest — nothing "as agreed later". 5. Risk: who bears loss if performance fails (insurance, indemnity, caps)? are warranties adequate/overbroad? 6. Termination: who can exit, when, how, with what consequences; is survival of key clauses provided? 7. Disputes: forum chosen? Nepal's limitation periods remembered? arbitration clause workable? 8. Consistency: definitions used, cross-references, no duplicated/conflicting clauses. 9. Formalities: stamp duty, registration, witnesses, attachments complete. 10. Second read in the client's shoes: does the client actually get what it thinks it is getting?
