4 Why the distinction matters in practice

Whether a transaction is equity or debt decides three things at once: who votes, who is paid first on insolvency, and how the return is taxed. It is also the point at which aggressive financing can be used to strip a company — the reason the law insists that dividends come only out of profits and that capital not be returned to members except through a permitted procedure.
