7.10 Provisions of Unpaid Seller and Rights of the Unpaid Seller

Unpaid seller — one to whom the whole price is unpaid (or a bill/note received as payment has been dishonoured). Rights against the goods:1. Lien — retain possession until paid (where no fixed-term credit was given), lost on waiver or on delivery to a carrier for transmission;2. Stoppage in transit — where the buyer has become insolvent, the unpaid seller may retake the goods while still in the carrier's hands (the transit window ends on delivery to the buyer or his agent — Unit 8's carriage link);3. Resale — after notice (or where perishable/expressly reserved), accounting the surplus tothe buyer and recovering the deficiency (the classical ledger; a resale without right binds the seller in damages where it injures the buyer). Rights against the buyer personally: suit for the price; damages for non-acceptance (the market-difference measure — the differential between contract and market price at the breach's date); repudiation for the buyer's anticipatory breach; interest on the price.
